Going forward, we endeavor to expand our corporate finance advisory service coverage internationally; in particular, to strengthen our financial advisory services to cater to the increase of demand from our clients’ network who desire to pursue listing in the U.S. capital market or other international capital markets.

Red Solar provides clients with a range of professional services, including acting as listing sponsor, marketing and introducing renowned strategic investors or cornerstone investors, equity underwriting, acting as compliance adviser, financial adviser and/or independent financial adviser, which are essential for carrying out various corporate transactions such as mergers and acquisitions. Licensed Corporation

Red Solar Capital Limited (“Red Solar”) is a corporation licensed to carry on Type 1 (Dealing in Securities) and Type 6 (Advising on Corporate Finance) regulated activities under the Securities and Futures Ordinance. Red Solar provides all-rounded investment banking services in the capacity of listing sponsor, compliance adviser, financial adviser or independent financial adviser under “The Codes on Takeovers and Mergers and Share Buy-backs” and the Listing Rules.

The management team of Red Solar has over 20 years of experience in investment banking, and has worked in the Securities and Futures Commission, The Stock Exchange of Hong Kong Limited and Big Four CPA firms in Hong Kong. Our team have professional experience in different fields and have a clear and extensive understanding of the Listing Rules and relevant regulatory regulations, and can effectively guide and assist our clients in complying with the Listing Rules.

Provide placing and underwriting services as a placing or sub-placing agent or a global coordinator for IPO applicants

Act as compliance adviser to listed companies on the Main Board or GEM of the Stock Exchange and advise them on post-listing compliance matters

Financial Advisory Services

Act as financial adviser to clients to advise them on the terms and structures of the proposed transactions, and the relevant implications and compliance matters under the Hong Kong regulatory framework including the Listing Rules, the GEM Listing Rules and/or the Takeovers Code

Independent Financial Advisory Services

Act as independent financial adviser to clients to give opinions or recommendations to the independent board committee and independent shareholders of listed companies on certain transactions.

Mr. Lam On Tai

Managing Director

Mr. Lam has over 20 years of corporate finance experience in investment banking. Mr. Lam has worked for a number of well-known Chinese investment banks, including ICBC International Capital Limited, CCB International Capital Limited and CCB International Asset Management Limited, where he was responsible for and participated in various listing (Initial Public Offering), financial advisory services and private equity investment projects.

Mr. Lam is currently an independent non-executive director of Oi Wah Pawnshop Credit Holdings Limited (1319), a Main Board list in Hong Kong. Mr. Lam holds a Master of Business Administration degree from the University of Sheffield in the United Kingdom and a Bachelor of Laws degree from the University of Wolverhampton in the United Kingdom.

Mr. Chan Chi Fung, Leo

Managing Director

Mr. Chan has over 18 years of experience in investment banking and finance, and has worked for Ernst & Young, CITIC Securities and CCB International, and has also worked at the head office of BNP Paribas. Mr. Chan has extensive experience in project execution and has participated in a number of H-share and red-chip listings, follow-on offerings, restructuring, cross-border acquisitions and mergers.

Mr. Chan is currently an independent non-executive director of Sisram Medical Ltd (1696) and Ziyuanyuan Holdings Group Limited (8223). Mr. Chan holds a Bachelor of Business Administration degree from the Hong Kong University of Science and Technology and is a Certified Public Accountant in Hong Kong.
